Terms and Conditions for EDS Application for Space

General

1. This contract is binding only when accepted by an Officer of EDSC. Upon such acceptance and upon payment of all fees, applicant shall become a participant of EDSC.
2. Participant agrees to pay the balance of all fees as determined by the Board of Directors and to be bound by the provisions of this contract and the Rules and Regulations adapted by EDSC from time to time which is posted on the EDS web site.
3. Participant understands that the charges indicated in this contract are only for EDS participation fees and standard furniture packages as outlined. Participant agrees to pay all additional charges to the Paris/Bally's Las Vegas Hotels and/or Freeman Decorating Company for any labor, decorating, room rental and other charges incurred by participant.
4. Participant agrees that if the requested Exhibit Booth, Conference Unit, Euro Suite or Hotel Suite is not available then an available Exhibit Booth, Conference Unit, Euro Suite or Hotel Suite (as the case may be) shall be assigned to it and any additional fee required will be paid to EDSC upon request. If a refund is appropriate, a check will be mailed to Participant.
5. The products and/or services listed on the front of this contract are sold by and under Participant's name and brand or with the written authority of the owner of the name and brand. Participant agrees to make a copy of such written authority available to EDSC upon request and represents that such products and/or services are sold to distributors for resale or for use in their business.
6. If more than one division or subsidiary of a company uses an Exhibit Booth, Conference Unit, Euro Suite or Hotel Suite, each will pay a participation fee, but the total fee will not be less than the designated fee for that space unit.
7. LIABILITY. Exhibitor agrees to indemnify, protect, save and keep EDSC, any hotel, convention hall and any other facility in which exhibit booths, euro suites, hotel suites, or conference units are assigned by EDSC and their respective Directors, Officers, Agents, employees and representatives forever harmless from any damage charges or liability imposed for violation of any law or ordinance, whether or not occasioned by the negligence of the exhibitor or those holding under or through the exhibitor. EDSC such holds convention halls or other facilities and their respective Directors, Officers, employees and representatives will not be responsible for, and exhibitor shall at all times indemnify and hold them harmless against any and all loss, costs, damages, liabilities, causes of action, debts, or expenses arising from or by reason of any injury to exhibitors, their employees, agents, guests, or anyone else or for the loss of or damage to any goods or property from any cause whatsoever while in transit to or from or while in such hotels, convention halls or other facilities.
8. THIS CONTRACT MAY BE CANCELED
   1. By EDSC in the event that prior to the date of EDS, Participant ceases to be eligible in accordance with the EDSC By-Laws or EDS Rules and regulations, or
   2. In the event Participant fails to pay, when due, the balance of its fees, or
   3. By Participant in the event it is unable to occupy or use its space at EDS.
9. If participant is unable to occupy or use the space contracted for herein, it will promptly notify EDSC in writing and cancel its contract. In the event Participant cancels its participation in EDS or cancels a portion of the space for which it has contracted, it is agreed that EDSC shall within a reasonable time after cancellation refund a portion of the Participation Fee in accordance with the following schedule:

Cancellation Date	Amount of Participation Fee to be Refunded
Prior to January 1, 2008	Amount paid in excess of $1,125
January 1, 2008–February 28, 2008	Amount paid in excess of $1,850
March 1, 2008–April 15, 2008	Amount paid in excess of $3,050
After April 1, 2008	No refund of any participation fees paid

The above amounts shall be retained by EDSC as liquidated damages. No portion of any Early Sign-up or Deposit will be refunded.
